It depends on the company itself. If it is ASX listed there is no duty on transfer.
If it is not listed then there might be duty payable.
Stamp duty is a state based tax. The best way to find out is to ring your State Revenue Office.

It was abolished about 10 years ago but do note that if the company is classified as "Land Rich" then there is duty to pay on transfer. Because in that case you are effectively transferring land and property titles.
