A Letter to 1-Page Shareholders
from Joanna Riley and Peter Kent
The Board and Governance We Need (and the Future Our Company and Shareholders Deserve)
READ THE FULL LETTER ON MEDIUM
As a shareholder, we expect you have found the last 12 months frustrating, especially in not receiving full and open communications which have prevented you from being able to make informed and sound judgments on your investment.
You may have also been confused and concerned as to the key areas of:
leadership changes; and
progress made, in signing new clients and enhancing our technology.
We both accept that 2016 was not 1-Page’s greatest year. For this we are profoundly sorry, and personally assure you we are taking every step necessary to address and fix the issues.
We have taken actions to:
implement a clear strategy and plan;
trim our operations;
improve our capabilities in operational leadership; and
set a strict focus and benchmarks for key operational areas.
These measures have been taken with one clear purpose – to deliver results for 1-Page’s shareholders.
Unfortunately, we have one major obstacle – Our Current Board.
In particular, a controlling majority of directors have been a roadblock and they have not provided the support and governance required to enable management to achieve an optimum performance and keep shareholders properly informed.
We believe the majority of our board are not acting in the best interests of all shareholders.
They have, for example:
kept pay increases of the Chairman quiet; and
attempted to prevent executive management from communicating with shareholders.
We have achieved some great milestones, but the majority of the board doesn’t want to acknowledge these facts nor inform you of them.
This hurts you and it frustrates us.
Therefore, on behalf of all our stakeholders, we are not going to put up with it any longer. Neither should you.
