1. The Landlord acknowledges and agrees to return the Bank Guarantee to the Assignee on the later of:
(1) "two years from the Assignment Date subject to the Assignee providing written evidence satisfactory to the Landlord (acting reasonably) of the performance of the business to no lesser level of gross turnover for that two years than it was for the two years prior to the Assignment date" and
(2) the date on which the Assignee has complied with all of its material obligations as set out herein.
If this Lease is teminated by disclaimer by a trustee or liquidator of the assignee the Assignee's Guarantor must, if requested to do so in writing by the Landload within 90 days after the date of the disclaimer, enter into a lease of the Premises for a term commencing from the date of the disclaimer to the end of the Term at the cost of the Assignee's Guarantor and on the terms and conditions of this Lease but without containing any provision for a guarantee of that lease.

谢啦,就是第一条第一个时间具体是什么意思呢,要求店的营业额不比前两年少?不是交房租就行吗,为什么要规定turnover,这个对房东有影响嘛

估计这个租约合同是retail 百分比合同。
full rent = base rate+ % of turn over

银行保证金是为了保护业主的利益,比如你没有财产,或没有相关的经验,业主是要求给保证金,以防你经营亏损而付不出房租。但在两年以后,业主可以退还给你保证金,前提是你在过去的两年里营业额不少于你没接手这店之前两年的最低营业额。这样就证明你是很有效和稳定的营运这个生意了。业主也就放心把保证金全额退还给你了。
